Organizational Structure
Constellate Literary Foundation is a nonprofit organization formed for charitable, educational, and literary purposes under Section 501(c)(3) of the Internal Revenue Code (pending or recognized status). The Foundation operates independently as a public-benefit entity dedicated to advancing literacy, supporting literary arts, and preserving cultural and educational works.
Constellate Creatives, LLC is a separate for-profit business entity. It operates independently from the Foundation and is not controlled by, nor does it control, the Foundation’s governance, editorial direction, or exempt-purpose activities.
Constellate Publishing is an imprint operated by Constellate Literary Foundation and functions solely within the Foundation’s nonprofit mission.
Editorial Independence
All editorial and publishing decisions made under Constellate Publishing are governed exclusively by the mission of Constellate Literary Foundation. Selection of works, authorship decisions, editorial development, and publication priorities are determined independently and are not influenced by any for-profit entity, commercial arrangement, or external business interest.
Arm’s-Length Relationship
Any services provided by Constellate Creatives, LLC—including production, design, strategy, marketing, or communications support—are conducted on an arm’s-length basis under separate agreements.
These services do not influence:
- editorial selection or rejection of works
- publication decisions
- grant-funded activities
- or any other nonprofit programmatic outcomes
All transactions between entities, if any, are conducted at fair market value and documented in accordance with standard nonprofit governance practices.
Mission and Public Benefit
The mission of Constellate Literary Foundation is to advance literary arts, expand access to education through storytelling, and preserve culturally and historically significant works for public benefit.
Programs and publications are designed to:
- support literacy and education
- elevate diverse voices and perspectives
- preserve literary and cultural heritage
- expand access to meaningful storytelling
Governance
The Foundation is governed by a Board of Directors responsible for oversight of mission, operations, and compliance with applicable nonprofit laws. The Board ensures that all activities further the organization’s charitable purpose and comply with Section 501(c)(3) requirements.
No part of the Foundation’s net earnings shall inure to the benefit of any private individual. All resources are used exclusively to further its exempt purposes.
Financial Integrity
All funds received by Constellate Literary Foundation are used solely to support its nonprofit mission. Any compensation for services rendered is based on reasonable market value and documented in accordance with standard nonprofit financial practices.
Upon dissolution, all remaining assets will be distributed to one or more organizations exempt under Section 501(c)(3), or to a governmental entity for public purpose use.
